1. Agreement to Terms

By accessing or using WhosPaid ("the Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use the Service.

The Service is provided by Herdl Ltd ("we", "us", or "our"), a company registered in England and Wales (Company Number: 08394619), and is intended for use by group organizers to track and manage shared expenses and payments.

2. Description of Service

WhosPaid is a group expense tracking application that allows administrators to:

• Create and manage expense groups
• Add members to groups and track their payment obligations
• Define payment installments with due dates
• Track payment status for all group members
• Display payment status publicly via shared links
• Send automated payment reminder emails (when configured)

3. User Accounts and Responsibilities

3.1 Account Creation

To use administrative features, you must create an account by providing a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Security

You are solely responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3.3 Accurate Information

You agree to provide accurate, current, and complete information when using the Service and to update such information as necessary to maintain its accuracy.

4. Acceptable Use

4.1 Permitted Use

The Service is intended for legitimate group expense tracking purposes only. You may use the Service to organize and track payments for group activities, events, or shared expenses.

4.2 Prohibited Activities

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Harass, abuse, or harm another person through the Service
• Upload or transmit viruses, malware, or any other malicious code
• Attempt to gain unauthorized access to the Service or related systems
• Use automated means (bots, scrapers) to access the Service without permission
• Interfere with or disrupt the Service or servers
• Impersonate any person or entity
• Collect or harvest personal information without consent
• Use the Service to conduct fraudulent activities

5. Public Display of Information

Important: Payment status information for group members is displayed publicly via shareable links. This "name and shame" approach is a core feature of the Service designed to encourage timely payments through social accountability.

By adding members to a group, you represent that you have obtained appropriate consent from those members to display their name, payment amounts, and payment status publicly.

Email addresses are never displayed publicly and are only used for payment reminder notifications (if configured).

6. Content and Data

6.1 Your Content

You retain all rights to the content you submit to the Service (group names, member names, payment information, etc.). By submitting content, you grant us a license to use, store, and display that content solely for the purpose of providing the Service to you.

6.2 Data Accuracy

While we strive to maintain accurate records, you are responsible for verifying the accuracy of all data displayed by the Service. We are not responsible for any errors or omissions in the data you provide.

6.3 Data Backup

We implement regular backups, but you are responsible for maintaining your own records and backups of important information.

7. Payment Processing

Important: WhosPaid is a tracking tool only. We do NOT process, handle, or facilitate actual financial transactions. The Service only tracks and displays payment status as recorded by administrators.

All actual payment transactions occur outside the Service. We are not responsible for:

• Collecting or processing payments
• Disputes between group members
• Non-payment or late payment by group members
• The accuracy of payment information recorded by administrators

8. Intellectual Property

The Service, including its design, features, code, and documentation, is owned by Herdl Ltd and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

WhosPaid is a trading name of Herdl Ltd.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• Any errors in the Service will be corrected
• The Service will meet your specific requirements

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or the like that may be transmitted through the Service by any third party
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content
• Disputes between users or between users and third parties

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS, OR £100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Herdl Ltd, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Any content you submit to the Service

12. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will immediately cease, but these Terms will continue to apply to any prior use of the Service.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last updated" date at the top of this page. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Herdl Ltd regarding the use of the Service and supersede any prior agreements.
